Project Objective(s)

The objective of this project is to reexamine existing standards for financial statement presentation by not-for-profit entities (NFP), focusing on improving:
  1. Net asset classification requirements
  2. Information provided in financial statements and notes about liquidity, financial performance, and cash flows. 
An October 2014 short video outlines the reasons why this project was added to the FASB’s technical agenda and provides an update on significant decisions reached during the project, including how those decisions address the project objectives.  An April 2015 short video discusses the proposed Accounting Standards Update, and its intended improvements to NFP financial statements and notes to the financial statements.

Due Process Documents

On April 22, 2015, the Board issued an Exposure Draft of the proposed Accounting Standards Update, Not-for-Profit Entities (Topic 958) and Health Care Entities (Topic 954), for public comment (press release). The comment period ended as of August 20, 2015.

Frequently Asked Questions (FAQs) on the Exposure Draft of the proposed Accounting Standards Update are being provided by the FASB staff for informational purposes. They address common questions that have been raised about the proposed changes and relate to matters that the Board is likely to be considering or reconsidering during its redeliberations of the proposals. To date the staff has issued the following FAQs: On May 12, 2015, the FASB hosted an educational webinar, IN FOCUS: FASB’s Proposed Changes to the Not-for-Profit Financial Statement Model, which provided an in-depth look at the proposed Update, specific amendments in the proposal, and what feedback the Board is seeking from stakeholders.

The Board discussed the following issues in Phase 1 of redeliberations for the proposed FASB Accounting Standards Update, Not-for-Profit Entities (Topic 958) and Health Care Entities (Topic 954): Presentation of Financial Statements of Not-for-Profit Entities (the proposed Update):
  1. Methods of presenting operating cash flows
  2. The net asset classification scheme and related issues
  3. Information useful in assessing liquidity.
Methods of Presenting Operating Cash Flows

The Board decided not to require not-for-profit entities (NFPs) to use the direct method of presenting operating cash flows, but instead to continue to allow them to use either the direct method or indirect method. Further, the Board decided to no longer require the indirect reconciliation if an NFP chooses to use the direct method.

Net Asset Classification Scheme and Related Issues

The Board made decisions on the following issues:
  1. Requirement of two classes of net assets
    1. The Board affirmed its proposal to combine temporarily and permanently restricted net assets into net assets with donor restrictions and to rename unrestricted net assets net assets without donor restrictions. Consistent with the proposed Update, this alternative would retain the current generally accepted accounting principles (GAAP) requirement to provide relevant information about the nature and amounts of donor restrictions on net assets (either on the face of the statement of financial position or in notes).
  2. Disclosure of amounts and purposes of board-designated net assets
    1. The Board affirmed its proposal to require the disclosure of the amounts and purposes of board-designated net assets either on the face of the financial statement or in the notes.
  3. Classification and disclosure of underwater endowments
    1. The Board affirmed its proposal to require that the aggregate amount by which endowment funds are underwater be classified within net assets with donor restrictions rather than the current unrestricted category.
    2. The Board decided to affirm its proposal for endowment funds that are underwater, if any, to require the disclosure of:
      1. The NFP’s policy to either reduce expenditure or not spend from underwater endowment funds
      2. The aggregate fair value
      3. The aggregate original endowment gift amount or level required by donor stipulations or by law to be maintained
      4. The aggregate of the amount of the deficiencies.
  4. Requirement of placed-in-service approach and elimination of over-time approach for expirations of restrictions to acquire or construct long-lived assets
    1. The Board affirmed its proposal to require, in the absence of explicit donor instructions, the placed-in-service approach for expirations of restrictions to acquire or construct long-lived assets, thus eliminating the over-time approach.
Information Useful in Assessing Liquidity

The Board discussed the proposal for providing qualitative and quantitative information useful for assessing liquidity and potential alternatives. The Board directed the staff to explore an approach that would require, like the proposal, qualitative information about how the NFP manages its liquidity and liquidity risks, but provide alternative ways of presenting quantitative information. This approach would emphasize information about assets that are liquid and available at the balance sheet date.

*Background Information

On November 9, 2011, the FASB chairman announced (press release) the addition of two agenda projects—this standards-setting project and a research project (Not-for-Profit Financial Reporting: Other Financial Communications)—intended to improve financial reporting of not-for-profit entities. The objectives of these projects encompass suggestions received by the Board from its Not-for-Profit Advisory Committee (NAC) at the Committee’s September 2011 meeting. The staff discussed the plans and approach for both projects with the NAC at its March 2012 and September 2012 meetings. Subsequent and ongoing discussions are held with members of the project resource group as well as members of NAC. The NAC page contains handouts and minutes from the NAC meetings.

On January 29, 2014, at the Agenda prioritization meeting, the Board voted to remove Not-for-Profit Financial Reporting: Other Financial Communications project (press release). This decision and potential alternatives were discussed with NAC at its March 2014 meeting.

On October 28, 2015, the Board decided to divide its redeliberations of the proposed Update into two phases. The first phase would reconsider issues that are not dependent on other projects and are improvements that the Board might finalize in the near term. The second phase would involve reconsideration of other proposed changes that are likely to require more time to resolve because they involve consideration of alternatives suggested by stakeholders that the Board did not previously consider or that are related to similar issues being addressed in other projects.
